Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Referrals Done Right relationship-CRM application (the “Service”), operated by Agency Optimization LLC (“Referrals Done Right,” “we,” “us”). By using the Service you agree to these Terms. If you use the Service on behalf of an organization, you agree on its behalf.

The Service

Referrals Done Right helps you organize referral relationships, plan outreach and events, and track your activity. We may add, change, or remove features over time.

Accounts and eligibility

You must be at least 18 and provide accurate information. You are responsible for your account, your team members’ seats, and for keeping login credentials secure. Workspace owners are responsible for the members they invite.

Subscriptions and billing

Paid plans are billed to the workspace owner. Current pricing is a base of $97 per month (which includes the first seat) plus $47 per month for each additional team member seat. Fees are billed in advance on a recurring basis and are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing on prospective notice.

Your data and content

You retain all rights to the data and content you enter (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service to you. We claim no ownership of Your Content.

Acceptable use and outreach compliance

You agree not to misuse the Service. In particular, you will not:

  • Upload data you do not have the right to store or use.
  • Use the Service to send unlawful, deceptive, harassing, or unsolicited bulk messages.
  • Violate applicable communications laws when you send email or text messages through, or prompted by, the Service — including CAN-SPAM, CASL, and the TCPA — such as honoring opt-outs and identifying yourself truthfully.
  • Attempt to breach security, reverse-engineer, scrape, or overload the Service.

You are solely responsible for the messages you choose to send and the contacts you choose to reach.

Third-party services

The Service integrates with third parties such as Google, Microsoft, and Stripe. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

Intellectual property

The Service, including its software, design, and content we provide (excluding Your Content), is owned by Agency Optimization LLC or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, Agency Optimization LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the claim.

Indemnification

You agree to defend and indemnify Agency Optimization LLC against claims arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. On termination, your right to use the Service ends; you may request an export of Your Content within a reasonable period beforehand.

Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Syracuse, New York.

Changes

We may update these Terms from time to time. Material changes will be posted here with an updated date, and continued use of the Service after changes take effect constitutes acceptance.
